Domestication

Goal

Relocate an existing LLC or corporation from one state to another. Depending on the entity and the two states, the route may involve statutory domestication or conversion, or a merger.

Request an Entity Relocation Analysis. Enter the entity type, current state, and destination state to receive an automated report by email. The report summarizes available research and identifies issues to review before filing. Check your spam folder if the report is not in your inbox.

Documents

The documents depend on the entity, both states, and the route. This section covers the instruments used to carry out a relocation. Later governance and tax documents have their own place.

Statutory domestication or conversion

A statutory conversion or domestication may use a plan and a state filing. A separate formation filing appears only when a state requires it as a separate document.

Merger-based relocation

A merger may use a plan of merger and state merger filings. The documents depend on the transaction structure and both states.

Shared documents

A document used in both routes belongs here once its role and Lexomatic preparation are verified. Document links on this page are limited to instruments whose preparation has been verified.

Process

First identify the entity, the current and destination states, and the available route. Then determine each state’s requirements, prepare the applicable documents, obtain the required approvals, make the filings, and confirm their effect.

Statutory domestication or conversion

The existing entity follows the procedure available under the two states’ laws.

Merger-based relocation

The move follows a merger plan and the filings required by the transaction structure and both states.

Process requirements are described in Domestication Flow Standards.
