Domestication Plan

Purpose

A relocation plan records the transaction terms and supports the approvals and filings required by the applicable route. State law may call the statutory-route instrument a Plan of Conversion or a Plan of Domestication. Those names describe different core document families; the applicable research and route determine which one is used. A merger uses a Plan of Merger.

Options

The plan’s terms depend on the entity, route, and two states. This page does not treat a template’s presence as proof that every plan variant is available. Document choices will be described after the generated versions and their applicability are checked.

Standards

The Domestication Plan Standards page explains how plan requirements are found through the applicable state and route. The Texas Domestication Flow Standards cover the Texas side of conversion and merger paths.

Approvals

A plan may need approval from managers or directors and from members or shareholders. The required decision makers and records depend on the entity, governing documents, and the law of the relevant state. These approvals are explained here as part of the plan; they are not separate document families in this catalog. Read Domestication for the relocation process.
